Below is a list of obligations that a company should follow after formation:
- Books of registrar must be maintained (including register of shareholders and charges)
- Company names must be shown on letters, notices, transaction documents, invoices, receipts etc.
- Renewal of business registration yearly
- Within 42 days from the yearly date of incorporation, a company is required to file the Annual Return (together with a fee of $ 105) to the Company Registry.
- If the fee is not attached, the Company Registry will refuse to register the documents.
- The fee will be substantially increased for late filing of annual returns
- Fee ranging from $ 870 to $ 3,480 (lateness for three months up to nine months).
- If you have any of the following changes or declarations, notification is required under a specified form (see the Companies Registry's website at www.cr.gov.hk)
- Registered office address (within 15 days)
- Appointment / Resignation of Company Secretary and Director (within 15 days)
- newly appointed director is required to submit a form of consent
- Particulars of the Company Secretary and the Directors (within 15 days)
- Share Allocation (Notification) (within 1 month)
- Charged Assets (for registration) (within 1 month)
- Other changes such as articles of association, changes in share capital, company name, resignation of auditors
